Winxtra Terms of Use

1. About these Terms

These Terms of Use govern your access to and use of the Winxtra website and, where applicable, Winxtra services including client portals, reports, APIs, MCP interfaces and related digital services (collectively, the “Services”).

Winxtra is a trading name of Win Labs Group Limited, a company registered in England and Wales.

These Terms apply primarily to business users. If you access or use the Services on behalf of an organisation, you confirm that you have authority to act on its behalf.

2. Relationship with your Service Agreement

Where your organisation has entered into a separate proposal, order form, statement of work, service agreement, data processing agreement or other written agreement with Winxtra (a “Service Agreement”), that agreement may contain additional or different terms.

If there is any conflict between these Terms and a Service Agreement, the Service Agreement will take precedence in relation to the relevant Services.

3. Use of the Services

You may use the Services only for lawful business purposes and in accordance with these Terms and any applicable Service Agreement.

You must not:

  • access or attempt to access data, accounts or systems that you are not authorised to access;

  • interfere with the security, integrity or operation of the Services;

  • introduce malicious code or use the Services for unlawful or fraudulent purposes;

  • attempt to circumvent authentication, access controls, usage limits or security measures;

  • reverse engineer, decompile or attempt to extract the source code of proprietary Winxtra software except where such restriction is prohibited by law; or

  • use the Services in a way that could materially damage, disable or disrupt Winxtra or its infrastructure.

4. Accounts and access credentials

Where we provide you with an account, API credential, access token or other authentication method, you are responsible for keeping it secure.

Credentials must not be shared with unauthorised users or organisations.

You must notify us promptly if you become aware of unauthorised access to your account or credentials.

You are responsible for activity carried out through credentials issued to you or your organisation, except where that activity results from a security failure for which Winxtra is responsible.

5. API and MCP access

Where Winxtra provides access through an API, MCP interface or other machine-to-machine connection, you may use that access only for your organisation's authorised business purposes and in accordance with any technical documentation or usage restrictions provided by Winxtra.

You must not use API or MCP access to:

  • access another customer's information;

  • bypass permissions or security controls;

  • make excessive or abusive automated requests;

  • provide unauthorised third parties with access to the Services;

  • resell or commercially redistribute the Services unless expressly agreed with Winxtra; or

  • attempt to extract, reconstruct or replicate Winxtra's underlying systems, methodologies or proprietary technology.

Winxtra may apply reasonable technical limits where necessary to protect the security, availability or performance of the Services.

6. Client data and interview content

As between Winxtra and its clients, clients retain ownership of the business data, CRM data and other materials they provide to Winxtra.

Ownership and permitted use of interview recordings, transcripts, interview responses, research material and other project-specific information will be governed by the applicable Service Agreement, Data Processing Agreement and Privacy Policy.

Nothing in these Terms transfers ownership of a client's underlying data to Winxtra.

7. Winxtra intellectual property

Winxtra and its licensors retain all rights in the technology, software, systems, methodologies, research frameworks, interview frameworks, analytical methods, report structures, templates, taxonomies, branding, designs and other intellectual property used to provide the Services.

Providing a report, analysis or other deliverable to a client does not transfer ownership of Winxtra's underlying methodologies, systems or intellectual property unless expressly agreed in writing.

Clients may use deliverables provided to them for their own internal business purposes subject to their Service Agreement.

8. Reports, insights and analysis

Winxtra provides research, analysis and decision-support services.

Reports and other outputs may incorporate information supplied by clients, interview participants, third-party sources and analytical systems. Interview responses may represent the views or perceptions of individual participants rather than objectively verified facts.

Winxtra does not guarantee that any particular commercial, financial, sales or strategic outcome will result from acting on information provided through the Services.

Users remain responsible for their own business decisions.

9. Privacy and data protection

Winxtra processes personal data in accordance with applicable data protection law and our Privacy Policy.

Our Privacy Policy explains what personal information we collect, how we use it, the lawful bases on which we process it and the rights available to individuals.

Where Winxtra processes personal data on behalf of a client, additional data-processing terms may apply under the relevant Service Agreement or Data Processing Agreement.

10. Third-party services

The Services may integrate with or provide links to third-party websites, platforms, software or services.

Winxtra is not responsible for third-party services that it does not control. Your use of those services may also be subject to the third party's own terms and privacy policies.

11. Availability and changes to the Services

We aim to maintain reliable access to our Services but do not guarantee that the website, portal, API, MCP interface or any other digital service will always be available without interruption or error.

We may modify, maintain or update the Services from time to time.

Where a material change affects a contracted service, the applicable Service Agreement will govern our obligations to the client.

12. Fees and payment

Where Services are provided for payment, pricing, payment terms, subscription periods, renewal terms and the scope of the Services will be set out in the applicable Service Agreement.

Failure to pay amounts when due may result in suspension or termination of the relevant Services in accordance with that agreement.

13. Suspension and termination

We may suspend or restrict access to the Services where reasonably necessary to:

  • protect the security or integrity of the Services;

  • prevent suspected unlawful or unauthorised activity;

  • address a material breach of these Terms; or

  • comply with a legal or regulatory requirement.

Termination of paid or contracted Services will be governed by the applicable Service Agreement.

14. Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or death or personal injury caused by negligence.

Where you use Winxtra under a Service Agreement, the liability provisions contained in that agreement will apply to the relevant Services.

To the maximum extent permitted by law, Winxtra will not be liable for indirect or consequential losses arising solely from use of, or reliance upon, general information made available through the public Winxtra website.

15. Governing law

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes relating to these Terms, except where another jurisdiction or dispute procedure is expressly agreed in a Service Agreement.

16. Changes to these Terms

We may update these Terms from time to time to reflect changes to our Services, business or legal obligations.

The current version will be published on this website together with the date it was last updated.

Changes to these website Terms will not override separately agreed contractual terms unless expressly agreed with the relevant client.
